-ESTATUTOS DE LA ASOCIACIÓN

ESTATUTOS

CAPITULO I

DENOMINACIÓN, FINES, DOMICILIO Y ÁMBITO:

Artículo 1. Con la denominación ASOCIACION DE VETERINARIOS ABOLICIONISTAS DE LA TAUROMAQUIA (AVAT) se constituye una ASOCIACION al amparo de la Ley Orgánica 1/2002, de 22 de marzo, y normas complementarias, con personalidad jurídica y plena capacidad de obrar, careciendo de ánimo de lucro.

ARTICLES OF ASSOCIATION

CHAPTER I

DENOMINATION, OBJECTIVES, DOMICILE AND COMPETENCE:

Article 1. With the denomination ASSOCIATION OF VETERINARIES ABOLITIONISTS OF TAUROMACHY (AVAT) it is constituted an ASSOCIATION under protection of the Spanish Organic Law 1/2002, of March 22, and complementary norms, with juridical personality and full aptitude to act, and with non-profit nature.

Artículo 2. Esta asociación se constituye por tiempo indefinido.

Article 2. This affiliation is constituted for an indefinite time.

Artículo 3. Ámbito profesional: La Asociacion estará formada por licenciados de ciencias veterinarias reconocidos por cualquier colegio oficial veterinario del mundo que se adhieran libremente a la misma y tengan una posición abolicionista al respecto de actividades de tauromaquia (tales como corridas de toros, encierros, o cualquier fiesta o espectáculo en la que bovinos se estresen, agoten, hieran y/o maten por deporte, celebración o entretenimiento), así como por aquellas personas que sean nombrados miembros honoríficos por acuerdo de la Asamblea General.

Article 3. Professional competence: The Association will be formed by Bachelors or Doctors of veterinary sciences recognized by any official veterinary school of the world who join freely to it and have an abolitionist position regarding activities of tauromachy (such as bullfighting, running of bulls, or any fiesta or spectacle in which bovines are stressed, exhausted, hurt and/or killed for sport, celebration or entertainment), as well as for those persons who are nominated ‘honorific members’ by agreement of the General Assembly.

Artículo 4. La existencia de esta asociación tiene como fines:

  • Fomentar y defender los intereses de licenciados de ciencias veterinarias que tengan una posición abolicionista al respecto de actividades de tauromaquia (así definidas en el articulo 3º)
  • Promover la investigación científica encaminada a asesorar las conclusiones de estudios veterinarios promovidos por la industria de la tauromaquia
  • Promover la participación de veterinarios críticos de las actividades de tauromaquia en debates públicos referentes a la abolición de la tauromaquia
  • Todos aquellos que acuerde la asamblea general y no se opongan a las leyes ni contradigan los principios configuradores de la Asociación.

Article 4. This association has as objectives:

    • To promote and to defend the interests of Bachelors and Doctors of veterinary sciences who have a abolitionist position regarding activities of tauromachy (as defined in the 3rd article)

    • To promote the scientific investigation directed to asses the conclusions of veterinary studies promoted by the bullfighting industry.

    • To promote the participation of veterinarians who criticise activities of tauromachy in public debates regarding the abolition of bullfighting

    • All those that the General Assembly agrees and are neither against the law nor contradict the founding principles of the Association.

Artículo 5. Para el cumplimiento de estos fines se realizarán las siguientes actividades:

  • Difundir entre sus asociados las publicaciones o documentos elaborados por Grupos de trabajo o miembros de la Asociación, nombrados a tales efectos, así como aquellas disposiciones oficiales de interés especial.
  • Proponer a los Órganos competentes de la Administración las sugerencias o ideas tendentes a cumplimentar los fines indicados en el artículo 4º de los presentes Estatutos.
  • Organizar conferencias, charlas, coloquios y cursillos que tengan como finalidad fomentar los fines de la Asociación
  • Auxiliar a todos los asociados en todos los problemas que como Veterinarios abolicionistas de la tauromaquia pudieran planteárseles.

Article 5. For the accomplishment of these objectives the following activities will be undertaken:

    • To spread between its associates publications or documents prepared by workgroups or members of the Association, named for such effects, as well as those official documents of special interest.

    • To propose to the competent authorities the suggestions or ideas leading to achieve the objectives indicated in the 4th article of the present Articles of association.

    • To organize conferences, talks, debates and short courses that have as a purpose to achieve the objectives of the Association

    • To help all the associates about all the problems that as Veterinary abolitionists of the tauromachy could have.

Artículo 6. La Asociación establece su domicilio social en Santa Gadea de Alfoz , XXX XXX XXX XXX , y el ámbito de competencia de la Asociación es el correspondiente a todo el territorio del Estado español, aunque se impulsará la presencia y participación de miembros de la Asociación residentes en otros países, y por tanto las consecuencias de sus actividades podrían alcanzar una dimensión internacional.

Article 6. The Association establishes his registered office in Santa Gadea de Alfoz, XXX XXX XXX XXX, and the ambit of competence of the Association is the correspondent to the whole territory of the Spanish State, although the presence and participation of members of the Association resident in other countries will be encouraged, and therefore the consequences of its activities might reach an international dimension.

CAPITULO II

ÓRGANO DE REPRESENTACIÓN

Artículo 7. La Asociación será gestionada y representada por una Junta Directiva formada por: un Presidente, un Vicepresidente, un Secretario. Todos los cargos que componen la Junta Directiva serán gratuitos. Éstos serán designados y revocados por la Asamblea General y su mandato tendrá una duración de 2 (dos) años.

CHAPTER II

ORGAN OF REPRESENTATION

Article 7. The Association will be managed and represented by a Directorate formed by: a President, a Vice-president, a Secretary. All the posts that compose the Directorate will be non-remunerated. These will be designated and revoked by the General Assembly and their term will have a duration of 2 (two) years.

Artículo 8. Estos podrán causar baja por renuncia voluntaria comunicada por escrito a la Junta Directiva, por incumplimiento de las obligaciones que tuvieran encomendadas y por expiración del mandato.

Article 8. These will be able to resign for voluntary resignation communicated in writing to the Directorate, for failing in their duties as they had been entrusted to them, and for expiration of the term.

Artículo 9. Los miembros de la Junta Directiva que hubieran agotado el plazo para el cual fueron elegidos, continuarán ostentando sus cargos hasta el momento en que se produzca la aceptación de los que les sustituyan.

Article 9. The members of the Directorate who had exhausted the term for which they were appointed, will keep their post up to the moment in which the acceptance takes place of those that would replace them.

Artículo 10. La Junta Directiva se reunirá cuantas veces lo determine su Presidente y a iniciativa o petición de la mitad de sus miembros. Quedará constituida cuando asista la mitad más uno de sus miembros y para que sus acuerdos sean válidos deberán ser tomados por mayoría de votos. En caso de empate, el voto del Presidente será de calidad.

Article 10. The Directorate will meet all the times his President determines it and as initiative or request of the half of its members. It will remain constituted when the half plus one of its members attend, and so that its agreements are valid they will have to be taken for the majority of votes. In case of tie, the vote of the President will be of quality.

Artículo 11. Facultades de la Junta Directiva:

Las facultades de la Junta Directiva se extenderán, con carácter general a todos los actos propios de las finalidades de la asociación, siempre que no requieran, según estos Estatutos, autorización expresa de la Asamblea General.

Son facultades particulares de la Junta Directiva:

    a) Dirigir las actividades sociales y llevar la gestión económica y administrativa de la Asociación, acordando realizar los oportunos contratos y actos.

    b) Ejecutar los acuerdos de la Asamblea General.

    c) Formular y someter a la aprobación de la Asamblea General los Balances y las Cuentas anuales.

    d) Resolver sobre la admisión de nuevos asociados.

    e) Nombrar delegados para alguna determinada actividad de la Asociación.

    f) Cualquier otra facultad que no sea de la exclusiva competencia de la Asamblea General de socios.

Article 11. Faculties of the Directorate:

The faculties of the Directorate will spread, with general character to all the proper acts of the purposes of the association, whenever they do not need, according to these Articles of association, express authorization of the General Assembly.

Particular faculties of the Directorate are:

    a) To direct the social activities and to take the economic and administrative management of the Association, agreeing to taking care of the opportune contracts and acts.

    b) To execute the agreements of the General Assembly.

    c) To formulate and to submit to the approval of the General Assembly the Balance and the annual Accounts.

    .

    d) To resolve on the admission of new associates.

    e) To name delegates for certain activity of the Association.

    f) Any other faculty that is not of the exclusive competition of the associates' General Assembly.

Artículo 12. El Presidente tendrá las siguientes atribuciones: Representar legalmente a la Asociación ante toda clase de organismos públicos o privados; convocar, presidir y levantar las sesiones que celebre la Asamblea General y la Junta Directiva, así como dirigir las deliberaciones de una y otra; ordenar pagos y autorizar con su firma los documentos, actas y correspondencia; adoptar cualquier medida urgente que la buena marcha de la Asociación aconseje o en el desarrollo de sus actividades resulte necesaria o conveniente, sin perjuicio de dar cuenta posteriormente a la Junta Directiva.

Article 12. The President will have the following attributions: To represent legally the Association before all kinds of public or private organisations; to summon, preside and to chair the meetings that the General Assembly and the Directorate celebrate, as well as to direct the deliberations of both; to arrange payments and to authorize with his/her signature the documents, minutes and mail; to adopt any urgent measurement leading to the good functioning of the Association or to the development of its activities if it turns out to be necessary or suitable, without detriment of giving account about them to the Directorate.

Artículo 13. El Vicepresidente sustituirá al Presidente en ausencia de éste, motivada por enfermedad o cualquier otra causa, y tendrá las mismas atribuciones que él.

Article 13. The Vice-president will replace the President in his/her absenc, motivated by illness or any another cause, and he/she will have the same attributions as he/she.

Artículo 14. El Secretario tendrá a cargo la dirección de los trabajos puramente administrativos de la Asociación, expedirá certificaciones, llevará los libros de la asociación legalmente establecidos y el fichero de asociados, y custodiará la documentación de la entidad, haciendo que se cursen a las comunicaciones sobre designación de Juntas Directivas y demás acuerdos sociales inscribibles a los Registros correspondientes, así como el cumplimiento de las obligaciones documentales en los términos que legalmente correspondan.

Article 14. The Secretary will have as post the direction of the purely administrative work of the Association, the sending of certificates, the management of the books of the association legally established as well as the associates' archives, and will have custody of the documents of the organization, have to process the communicates on designation of Directorates and other social agreements to the corresponding official Records, as well as take care of the documentary duties in the terms that legally correspond.

Artículo 15. Las vacantes que se pudieran producir durante el mandato de cualquiera de los miembros de la Junta Directiva serán cubiertas provisionalmente entre dichos miembros hasta la elección definitiva por la Asamblea General convocada al efecto.

Article 15. The vacancies that could take place during the term of any of the members of the Directorate will be covered provisionally between the above mentioned members up to the definitive election by the General Assembly summoned for that effect.

CAPITULO III

ASAMBLEA GENERAL

Artículo 16. La Asamblea General es el órgano supremo de gobierno la Asociación y estará integrada por todos los asociados.

CHAPTER III

GENERAL ASSEMBLY

Article 16. The General Assembly is the supreme organ of government of the Association and it will be integrated by all the associates.

Artículo 17. Las reuniones de la Asamblea General serán ordinarias y extraordinarias. La ordinaria se celebrará una vez al año dentro de los cuatro meses siguientes al cierre del ejercicio; las extraordinarias se celebrarán cuando las circunstancias lo aconsejen, a juicio del Presidente, cuando la Junta Directiva lo acuerde o cuando lo proponga por escrito una décima parte de los asociados.

Article 17. The meetings of the General Assembly will be ordinary and extraordinary. The ordinary ones will take place once a year within the four following months to the end of the exercise; the extraordinary ones will take place when the circumstances advise it, as the President may judge it, when the Directorate agrees or when at least a tenth of the associates proposes it in writing.

Artículo 18. Las convocatorias de las Asambleas Generales se realizarán por escrito expresando el lugar, día y hora de la reunión así como el orden del día con expresión concreta de los asuntos a tratar. Entre la convocatoria y el día señalado para la celebración de la Asamblea en primera convocatoria habrán de mediar al menos quince días, pudiendo así mismo hacerse constar si procediera la fecha y hora en que se reunirá la Asamblea en segunda convocatoria, sin que entre una y otra pueda mediar un plazo inferior a una hora.

Article 18. The summons for the General Assemblies will take place in writing explicitly stating the place, day and hour of the meeting as well as the agenda with concrete statements of the matters to discuss. Between the summons and the day indicated for the Assembly to take place in the first summons there should have to pass at least fifteen days, being able to point out, if pertinent, the date and hour when the Assembly will meet in a second summons, without having less than an hour difference between both summons.

Artículo 19. Las Asambleas Generales, tanto ordinarias como extraordinarias, quedarán válidamente constituidas en primera convocatoria cuando concurran a ella un tercio de los asociados con derecho a voto, y en segunda convocatoria cualquiera que sea el número de asociados con derecho a voto.

Los acuerdos se tomarán por mayoría simple de las personas presentes o representadas cuando los votos afirmativos superen a los negativos, no siendo computables a estos efectos los votos nulos, en blanco, ni las abstenciones.

Será necesario mayoría cualificada de las personas presentes o representadas, que resultará cuando los votos afirmativos superen la mitad de éstas, para:

    a) Disolución de la entidad.

    b) Modificación de Estatutos.

c) Disposición o enajenación de bienes integrantes del inmovilizado

Article 19. The General Assemblies, both ordinary and extraordinary, will remain validly constituted in the first summons when a third of the associates with right to vote meet in it, and in the second summons with any number of associates with right to vote.

The agreements will be taken by simple majority of the present persons or represented persons when the affirmative votes outnumber the negative ones, without using for this purpose void votes, bank votes or abstentions.

There will be necessary of qualified majority of the present or represented persons, resulting in affirmative votes outnumbering half of these persons, for the following cases:

    a) Dissolution of the association

    b) Modification of Articles of association.

    c) Disposition or alienation of goods belonging to the association

Artículo 20. Son facultades de la Asamblea General:

    a) Aprobar, la gestión de la Junta Directiva.

    b) Examinar y aprobar las Cuentas anuales.

    c) Elegir a los miembros de la Junta Directiva.

    d) Fijar las cuotas ordinarias o extraordinarias.

    e) Disolución de la asociación.

    f) Modificación de los Estatutos.

    g) Disposición o enajenación de los bienes

    h) Cualquiera otra que no sea competencia atribuida a otro órgano social.

Article 20. The faculties of the General Assembly are:

    a) To approve the management of the Directorate.

    b) To examine and approve the annual Accounts.

    c) To choose the members of the Directorate.

    d) To decide on the amount of the ordinary or extraordinary quotas.

    e) Dissolution of the association

    f) Modification of the Articles of association.

    g) Disposition or alienation of the goods

    h) Any other that is not a competence attributed to another social organ.

Artículo 21. Requieren acuerdo de la Asamblea General Extraordinaria convocada al efecto:

    a) Modificación de los Estatutos.

    b) Disolución de la Asociación.

    c) Expulsión de Socios, a propuesta de la junta directiva

Article 21. There will be a need for agreement of the Extraordinary General Assembly summoned for the effect for:

    a) Modification of the Articles of association.

    b) Dissolution of the Association.

    c) Associates' expulsion, at the proposal of the directorate

CAPITULO IV

SOCIOS

Artículo 22. Podrán pertenecer a la Asociación aquellos veterinarios con capacidad de obra que tengan interés en el desarrollo de los fines de la Asociación.

CHAPTER IV

ASSOCIATES

Article 22. Those veterinarians with capacity of work who have interest in the development of the objectives of the Association will be able to belong to the Association.

Artículo 23. Dentro de la Asociación existirán las siguientes clases de socios:

    a) Socios fundadores, que serán aquellos que participen en el acto de constitución de la Asociación.

    b) Socios de número, que serán los que ingresen después de la constitución de la Asociación.

    c) Socios de honor, los que por su prestigio o por haber contribuido de modo relevante a la dignificación y desarrollo de la Asociación, se hagan acreedores a tal distinción. El nombramiento de los socios de honor corresponderá a la (Junta Directiva o Asamblea General).

Article 23. Within the Association there will be the following associates' types:

    a) Founding associates, who will be those that take part in the act of constitution of the Association.

    b) Associates of number, who will be those who enter after the constitution of the Association.

    c) Honorific Associates, which for their prestige or for having contributed in an excellent way to the reputation and development of the Association, become deserving of such a distinction. The appointment of the honorary associates will correspond to the Directorate or the General Assembly.

Artículo 24. Los socios causarán baja por alguna de las causas siguientes:

    a) Por renuncia voluntaria, comunicada por escrito a la Junta Directiva.

    b) Por incumplimiento de las obligaciones económicas

Article 24. The associates can leave the association for one of the following causes:

    a) For voluntary resignation, communicated in writing to the Directorate.

    b) For lack of fulfilment of their economic obligations

Artículo 25. Los socios de número y fundadores tendrán los siguientes derechos:

    a) Tomar parte en cuantas actividades organice la Asociación en cumplimiento de sus fines.

    b) Disfrutar de todas las ventajas y beneficios que la Asociación pueda obtener.

    c) Participar en las Asambleas con voz y voto.

    d) Ser electores y elegibles para los cargos directivos.

    e) Recibir información sobre los acuerdos adoptados por los órganos de la Asociación.

    f) Hacer sugerencias a los miembros de la Junta Directiva en orden al mejor cumplimiento de los fines de la Asociación.

Article 25. The associates of number and founders will have the following rights:

    a) To take part in all the activities organized by the Association in fulfilment of its objectives

    b) To enjoy all the advantages and benefits that the Association could obtain.

    c) To take part in the Assemblies with voice and vote.

    d) To be electing and eligible for the managing charges.

    e) To receive information about the agreements adopted by the organs of the Association.

    f) To give suggestions to the members of the Directorate in order to the best achieve the objectives of the Association.

Artículo 26. Los socios fundadores y de número tendrán las siguientes obligaciones:

    a) Cumplir los presentes Estatutos y los acuerdos válidos de las Asambleas y la Junta Directiva.

    b) Asistir a las Asambleas y demás actos que se organicen.

    c) Desempeñar, en su caso, las obligaciones inherentes al cargo que ocupen.

Article 26. The founding associates and of number associates will have the following duties:

    a) To adhere to the present Articles of association and the valid agreements of the Assemblies and the Directorate.

    b) To be present at the Assemblies and other acts that are organised.

    c) To redeem, when relevant, the duties inherent in the charge that they occupy.

Artículo 27. Los socios de honor tendrán las mismas obligaciones que los fundadores y de número a excepción de las previstas en los apartados b) y c), del artículo anterior.

Asimismo, tendrán los mismos derechos a excepción de los que figuran en los apartados c) y d) del artículo 25, pudiendo asistir a las asambleas sin derecho de voto.

Article 27. The honorific associates will have the same obligations as the founders and associates of number with the exception of those in the paragraphs b) and c), of the previous article.

Also, they will have the same rights with the exception of those which appear in the paragraphs c) and d) of the article 25, being able to be present at the assemblies without right to vote.

Artículo 28. Los recursos económicos previstos para el desarrollo de los fines y actividades de la Asociación serán los siguientes:

    a) Las subvenciones, legados o herencias que pudiera recibir de forma legal por parte de los asociados o de terceras personas.

    c) Cualquier otro recurso lícito.

Article 28. The economic resources foreseen for the development of the objectives and activities of the Association will be the following:

    a) Subsidies, legacies or heredities that it could legally receive on the part of the associates or third persons.

    c) Any other licit resource.

Artículo 29. El patrimonio inicial o Fondo Social de la Asociación es de __0_ euros.

Article 29. The initial patrimony or Social Fund of the Association is of __ 0_ euros

Artículo 30. El ejercicio asociativo y económico será anual y su cierre tendrá lugar el 31 de diciembre de cada año.

Article 30. The associative and economic exercise will be annual and its closing will take place on December 31st of every year.

Artículo 31. Como régimen de administración, contabilidad y documentación, la Asociación dispondrá de una relación actualizada de sus asociados, y llevará una contabilidad que permitan obtener una imagen fiel de su patrimonio, del resultado y de la situación financiera de la entidad, así como una relación de las actividades realizadas, efectuando un inventario de sus bienes y recogiendo en un libro las actas de las reuniones de sus órganos de gobierno y representación.

Article 31. As method of administration, accounting and recording, the Association will have an updated record of its associates, and it will take an accounting that they allow to obtain a faithful image of its patrimony, of the result and of the financial situation of the organization, as well as a record of the activities undertaken, carrying out an inventory of its goods and gathering in a book the minutes of the meetings of its organs of government and representation.

CAPITULO V

DISOLUCIÓN

Artículo 32. Se disolverá voluntariamente cuando así lo acuerde la Asamblea General Extraordinaria, convocada al efecto, con arreglo a lo dispuesto en el artículo 20 de los presentes Estatutos.

CHAPTER V

DISSOLUTION

Article 32. The Association will be dissolved voluntarily when it is agreed by the Extraordinary General Assembly summoned for that effect, according to what is arranged in the article 20 of the present Articles of association.

Artículo 33. En caso de disolución, se nombrará una comisión liquidadora la cual, una vez extinguidas las deudas, y si existiese sobrante liquido lo destinará para fines que no desvirtúen su naturaleza no lucrativa (concretamente a cumplir alguno de los fines de la Asociacion).

Article 33. In case of dissolution, a liquidation commission will be appointed which, as soon as the debts are extinguished, and if there is remaining capital, it will given to non-profit organizations (concretely whose trying to achieve some of the objectives of the Association).

DISPOSICION ADICIONAL

En todo cuanto no esté previsto en los presentes Estatutos se aplicará la vigente Ley Orgánica 1/2002, de 22 de marzo, reguladora del Derecho de Asociación, y las disposiciones complementarias.

ADDITIONAL DISPOSITION

Regarding anything that has not been covered in the present Articles of association the current Spanish Organic Law 1/2002, of March 22, regulatory of the Right of Association, and the complementary dispositions, will apply .
